Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Granularity identity resolution platform, websites, APIs, and related services (the “Services”) provided by Granularity, Inc. (“Granularity,” “we,” “us”). By creating an account or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Services
Granularity provides tools that recognize visitors to your website and, where permitted, associate them with business or consumer identity information. Features, usage limits, and pricing are described on our Pricing page and in your subscription.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity under your account. You must provide accurate information and keep it up to date.
3. Customer Compliance Obligations
Because you deploy our tracking technology on your own website and receive personal information about your visitors, you are a controller/business with respect to that data and you agree that you will:
- Post a clear and accurate privacy notice on your website disclosing the use of tracking, identity resolution, and enrichment, as required by applicable law;
- Provide any required notices and obtain any required consents from your visitors;
- Honor opt-out and other privacy rights requests, including browser signals such as the Global Privacy Control;
- Not use the Services on websites directed to children or to knowingly process data of individuals under 16;
- Comply with all applicable laws when contacting individuals, including the TCPA for calls and texts and the CAN-SPAM Act for email. Phone numbers obtained through the Services may be used only for manually dialed calls and texts placed by a live person, and not with an autodialer, predictive dialer, or prerecorded/artificial-voice messages absent the consent required by law.
4. Prohibited Uses
You may not use the Services or any data obtained through them to determine eligibility for credit, insurance, employment, housing, or any other purpose regulated by the federal Fair Credit Reporting Act (FCRA) or similar laws; for unlawful discrimination; for stalking, harassment, or unlawful surveillance; or in any manner that violates our Acceptable Use Policy, which is incorporated into these Terms.
5. Fees and Billing
Paid subscriptions are billed in advance on a monthly or annual basis through our payment provider. Fees are non-refundable except as required by law or expressly stated. Usage above your plan’s limits may incur overage charges as described at checkout. We may change pricing prospectively upon notice.
6. Intellectual Property; Data
We and our licensors own the Services and all related intellectual property. As between you and Granularity, you retain rights to the data you submit, and you grant us a license to process it to provide and improve the Services. You may not resell, redistribute, or create a competing identity database from the Services except as expressly permitted by your plan.
7. Third-Party Services
The Services rely on third-party providers (for example, data enrichment and payment processing). Your use of those features may be subject to the third parties’ terms, and we are not responsible for third-party services.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that identity matches are accurate, complete, or suitable for any particular purpose.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANULARITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You will indemnify and hold harmless Granularity from claims, damages, and expenses arising out of your use of the Services, your data, or your breach of these Terms or applicable law, including your privacy-notice and consent obligations.
11. Term and Termination
These Terms remain in effect while you use the Services. We may suspend or terminate access for violation of these Terms or applicable law. You may cancel at any time; cancellation takes effect at the end of the current billing period.
12. Governing Law
These Terms are governed by the laws of the State of [insert state], without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in [insert county/state], unless otherwise required by law.
13. Changes
We may modify these Terms from time to time. Material changes will be communicated by updating the “Last updated” date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
